Terms of Sale
Version 1.0 · Updated 2026-09-08
Version: 1.0
Last updated: 8 September 2026
1. Purpose and scope
These Terms of Sale (the “Terms of Sale”) define the conditions under which Kraken Labs, a simplified joint-stock company (SAS) registered with the Bordeaux Trade and Companies Register under number 994 290 484 00017, with registered office at 27 quater Avenue de la Duragne, 33850 Léognan, France (the “Provider”), supplies the neuronxcrm service to professional customers (the “Customer”) as remote SaaS software.
neuronxcrm is a multi-tenant CRM platform enabling metadata-driven CRM configuration, record management, workflows, integrations (including Gmail), AI-assisted onboarding features where enabled, and related administration tools.
These Terms of Sale apply to any subscription, order, account creation, trial activation, or free or paid use of neuronxcrm, unless a specific written agreement between the Parties provides otherwise. They exclude, unless expressly accepted by the Provider, the Customer’s general purchasing conditions or unilateral documents.
2. Contractual documents and priority
Relations between the Parties are governed, in decreasing order of priority, by:
- Specific Terms, purchase order, quote, or signed specific contract;
- these Terms of Sale;
- where applicable, the Data Processing Agreement (“DPA”) for processing performed by Kraken Labs on behalf of the Customer;
- the Privacy Policy, Cookie Policy, and product documentation published by the Provider, for the subjects they cover.
In case of conflict, the higher-ranking document prevails, unless a document expressly derogates from a specific point.
3. Description of the service
neuronxcrm is provided as SaaS. Depending on the subscribed offer, the service may include:
- tenant workspace administration and user management;
- metadata-driven entities, properties, layouts, and records;
- workflows, imports, and integrations;
- mailbox connectivity (for example Gmail) when enabled by the Customer;
- hosting of Customer data within the agreed infrastructure;
- export of data in natively usable formats (for example CSV, JSON), according to product capabilities.
Functional detail appears on the neuronxcrm site, in the subscription space, or in applicable Specific Terms.
4. Formation of the contract
The Contract is formed on the date of online acceptance of these Terms of Sale, signature of a quote, purchase order, or specific contract, or activation of the service by the Customer, whichever occurs first.
The Customer represents that it subscribes as a professional acting in the course of its business.
5. Access and accounts
The Customer is responsible for confidentiality of credentials, management of its users, and maintaining an appropriate security level on its own devices, networks, and access paths.
6. Customer obligations
The Customer remains solely responsible for the lawfulness of processing it carries out, the content it stores, and how it exploits data returned by the service. It must not use neuronxcrm for unlawful purposes or contrary to public order.
7. Availability, maintenance, and evolution
The Provider uses reasonable means to ensure availability. The service may be temporarily interrupted for maintenance, updates, security, or force majeure.
8. Hosting, security, and technical subprocessors
The platform and its backups are hosted with Scaleway in France. Transactional email is delivered via Scaleway TEM as the primary sender, with Brevo remaining as fallback. Optional Google integrations (Gmail, Gemini) process data according to those services’ terms when enabled. The Provider implements technical and organisational measures appropriate to the security of the service.
9. Personal data
- Provider’s own processing: Kraken Labs acts as controller for accounts, billing, and support (see Privacy Policy).
- Processing on behalf of the Customer: Kraken Labs acts as processor for tenant CRM data and connected mailbox content, under the DPA.
10. Price, subscriptions, and invoicing
Prices are in euros excluding taxes. Unless otherwise stated, invoices are payable within thirty (30) days. No unilateral set-off may be operated by the Customer.
11. Late payment
In case of late payment, statutory penalties and a fixed recovery indemnity are due as of right. The Provider may suspend the service after written notice.
12. Term, renewal, suspension, and termination
Unless otherwise stated, subscriptions renew tacitly. The Provider may terminate or suspend the service in case of serious breach, security risk, or non-payment.
13. Reversibility, return, and deletion of data
At the end of the contract, the Customer may request return of its data in standard formats. After the reversibility period, data are deleted from production systems within a maximum of thirty (30) days, subject to legal retention duties and normal backup overwrite cycles.
14. Intellectual property
The Provider remains owner of all rights in neuronxcrm. The Customer retains all rights in its own content.
15. Confidentiality
The Parties agree to keep strictly confidential information obtained under the contract. This obligation remains in force for the contract term and five (5) years after its end.
16. Liability
The Provider’s liability is limited to direct, proven damages, capped at the total amount excluding tax paid by the Customer during the twelve (12) months preceding the triggering event. Indirect damages are excluded. DPA stipulations prevail for personal-data processing questions.
17. Force majeure
Neither Party is liable for force majeure. If the impediment lasts more than sixty (60) days, either Party may terminate the contract.
18. Subcontracting
The Provider may use subprocessors of its choice under its responsibility, subject to imposing appropriate security and confidentiality obligations.
19. Commercial reference
Unless written agreement, the Provider may not use the Customer’s name or logo as a commercial reference.
20. Updates
The Provider may modify these Terms of Sale to reflect service or regulatory changes. The Customer will be informed by any appropriate means.
21. Governing law and disputes
These Terms of Sale are governed by French law. In case of dispute, the Parties will seek an amicable solution before referring to the competent courts within the jurisdiction of the Bordeaux Court of Appeal.
